Terms of Use

1. Acceptance of terms
By accessing kaogami.com (the "Site") or ordering a service from Kaogami (together the "Service"), you agree to be bound by these Terms of Use. If you do not agree, do not use the Service. Kaogami is a brand of Moshivo LLC ("we", "us").
2. The Service
Kaogami designs and produces AI-generated characters for brands. The Service is delivered in three separately purchasable steps: a concept (candidate faces produced from your brief), a build (the chosen character, its trained model, a reference set and the transfer of rights), and an optional monthly production of photos and video featuring that character. Each step is described, with its price, on the Site at the time of order.
3. Orders and payment
Prices are shown in US dollars and exclude taxes; VAT, GST or equivalent taxes may be added at checkout based on your billing country. The concept and the build are paid once, in advance; the concept price is deducted from the build when you continue. Monthly production is billed as a subscription, renewed each month until cancelled; cancellation takes effect at the end of the current period and the character remains yours. Payments are processed by Stripe, Inc.; we never store your card details. We may change prices for future orders at any time; a price shown at the time of your order applies to that order.
4. Delivery, revisions and refunds
Delivery times shown on the Site (for example, first faces in 72 hours) run from the moment we receive both the payment and a complete brief. The concept includes one revision round. Because the concept work begins immediately and is bespoke, it is not refundable once the candidate faces have been delivered. The build is refundable in full if you cancel before the character is approved for training; after approval it is not, as the work is complete on delivery.
5. Ownership and rights transfer
On full payment of the build, we assign to you the exclusive commercial rights to the delivered character: its likeness, the trained model, the reference set and every visual we produce of it for you. We keep no licence to reuse the character and will not build a similar one for another client. We retain ownership of our tools, workflows, prompts and general know-how, none of which are specific to your character. Concept candidates you did not choose remain ours.
6. Your responsibilities
You are responsible for the brief and the material you send us, for having the right to use any product photography and brand assets you provide, and for how the character is used once delivered, including compliance with advertising rules and with any obligation to disclose synthetic content where it applies. You will not ask us to reproduce the likeness of a real person without that person's written authorisation, and you will not use the character for unlawful, deceptive or harmful content.
7. No guarantee of outcome
We deliver a character and the visuals ordered. We do not promise any audience, engagement, sales or platform performance, and we are not responsible for decisions taken by social platforms or advertising networks about content featuring the character.
8. Intellectual property in the Site
All content on the Site, including text, graphics, the Kaogami name and mark, and code, is the property of Moshivo LLC and protected by applicable intellectual property laws. Our house characters shown on the Site are ours and may not be reproduced.
9. Disclaimer of warranties
Except as expressly stated in these Terms, the Service is provided "as is" without warranties of any kind, express or implied. Moshivo LLC does not warrant that the Site will be uninterrupted or error-free.
10. Limitation of liability
To the fullest extent permitted by law, Moshivo LLC shall not be liable for any indirect, incidental, special, consequential or punitive damages arising from your use of, or inability to use, the Service, and our total liability for any order is limited to the amount you paid for that order.
11. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law provisions.
12. Changes to terms
We may modify these Terms at any time. Continued use of the Service after changes constitutes your acceptance of the revised Terms; an order is governed by the Terms in force when it was placed.
